We, the undersigned, all of whom are natural persons legally competent to enter into contracts, desiring to
form a Non-Profit Corporation under Title 18, Chapter 19, Oklahoma Statutes Annotated, adopt the following
Articles for such corporation:




The name of the corporation is Oklahoma Indian Child Welfare Association, Inc.





The corporation is organized exclusively for charitable benevolent purposes within the intent and meaning of
Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United
States Internal Revenue Law including, but not limited to:
Educational and other charitable activities to promote the well being of American Indian children, their
families and their Tribes, and the prevention of cruelty to American Indian children by training and other
activities for persons and agencies dealing with American Indian Children, particularly where they have been
removed from their families.




No pecuniary gain, incidental or otherwise, shall be afforded any member of the corporation and not part of
the net earnings, nor property of the corporation shall enure to the benefit of or be distributable to its
members, directors, or other private persons, except that the corporation shall be authorized and empowered
to make payments and distributions to furtherance of the purposes set forth in Article II.
Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities
which are prohibited by a corporation (a) exempt from Federal income tax under Section 501(c)(3) of the
Internal Revenue Code of 1954, or (b) contributions to which are deductible under Section 170(c)(2)(B) of
the Internal Revenue Code (or the corresponding provisions of any such future law). Notwithstanding any
other provision of these Articles, this corporation shall not, except to an insubstantial degree, engage in any
activities or exercise any power that are not in furtherance of the purposes of this corporation.




The duration of existence of this corporation shall be fifty years.




Upon the dissolution of the corporation, the Board of Directors shall, after paying or making provision for the
payment of all the liabilities of the corporation, dispose of all the assets of the corporation in such a manner or
to such organization or organizations, organized and operated exclusively for charitable, educational, religious,
literary or scientific purposes as shall at the time qualify as an exempt organization or organizations, under
Section 501(c)(3) of the Internal Revenue Code, or the corresponding provision of any future United States
Internal Revenue Law, as the Board of Directors shall determine in compliance with governing laws.




The principal place of business and initial registered office of the corporation is: Native American Coalition of
Tulsa, Inc., 1740 West 41st Street, Tulsa, OK, County of Tulsa, State of Oklahoma, and the name of its
initial registered agent such address is Ethel C. Krepps.




The names and address of the person who are to serve as incorporators and as the initial Board of Directors
until the first annual meeting of the corporation are:

1984, personally appeared Toby Robles, Vernon Ketcheshanno, & Ethel Krepps, to me known to be the
identical persons who executed the within and foregoing Articles of Incorporation, and acknowledged to me
that they executed the same as their free and voluntary act and deed for the uses and purposes therein set
forth.

The Oklahoma Indian Child Welfare Association, Inc., was incorporated as a non-profit 501 (c)(3)
organization in May 1984 by the State of Oklahoma and has operated since to bring professionals together for
educational and other charitable activities to promote the well being of American Indian children, their families
and their tribes.
